Acceptance of Terms

By visiting or using the Risenfinity website (risenfinity.com), submitting any enquiry form, attending any consultation, or availing any service offered by Risenfinity, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions.

These terms apply to all visitors, registered users, clients, and other parties who access or use our services in any capacity. Your continued use of our platform constitutes your ongoing acceptance of these terms and any modifications thereto.

• These terms constitute a legally binding agreement between you and Risenfinity.
• If you are acting on behalf of a company or organisation, you represent that you have authority to bind that entity.
• Use of our services by minors under 18 years is not permitted without verifiable parental or guardian consent.

Our Services

Risenfinity is a strategic growth and investment advisory platform connecting founders, investors, and businesses across global markets. Our services include, but are not limited to:

• Startup growth strategy and advisory consulting
• Investor network access and warm introductions
• Fundraising support, term sheet navigation, and round management
• Business expansion into international markets including India, UAE, UK, and Singapore
• Due diligence preparation, data room structuring, and compliance review
• Pitch deck review, financial modelling, and investor readiness assessments
• Mentorship programmes and ecosystem connections

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice. Risenfinity does not guarantee that any specific outcome — including fundraising success, investor introductions, or business expansion milestones — will be achieved as a result of our services.

Eligibility

To access or use Risenfinity's services, you must meet the following criteria:

1. You must be at least 18 years of age and legally capable of entering a binding contract.
2. If representing a business entity, that entity must be duly incorporated and in good legal standing in its jurisdiction.
3. You must not be based in a jurisdiction where accessing our services would be unlawful.
4. All information provided to us must be accurate, complete, and not misleading in any material respect.

Confidentiality

We understand that founders and businesses share sensitive information — including business plans, financials, trade secrets, and strategic roadmaps — in the course of engaging with Risenfinity. We treat all such information with the highest level of discretion.

• All information shared with us through enquiry forms, consultations, or onboarding is treated as confidential.
• We will not share your information with any third party — including investors or partners in our network — without your prior written consent, except as required by applicable law.
• Our team members and associates are bound by internal confidentiality obligations in line with industry standards.
• Anonymised or aggregated data that does not identify you or your business may be used to improve our services or produce market insights.

You also agree not to disclose to any third party any confidential information shared with you by Risenfinity in the course of our engagement, including details of our network, processes, pricing structures, or partner relationships.

Intellectual Property

All content on the Risenfinity website and platform — including but not limited to text, graphics, logos, icons, images, frameworks, methodologies, and software — is the exclusive intellectual property of Risenfinity and is protected under applicable copyright, trademark, and intellectual property laws.

• You may not reproduce, republish, distribute, or commercially exploit any content from our platform without express written permission.
• Any frameworks, tools, templates, or proprietary materials we share with you during our engagement remain the intellectual property of Risenfinity.
• You retain ownership of all materials and information you provide to us. By submitting materials, you grant Risenfinity a limited, non-exclusive licence to use such materials solely for the purpose of providing agreed services.
• No part of these terms grants you any right to use the Risenfinity name, logo, or trademarks in any manner without prior written approval.

Fees & Payments

Fees for Risenfinity services are agreed upon in a separate engagement agreement or service proposal provided to you prior to commencement of work. Unless otherwise stated in writing:

• All fees are quoted in Indian Rupees (INR) or as otherwise specified, and are exclusive of applicable taxes including GST.
• Payment terms are as specified in your individual service agreement. Late payments may attract interest at a rate of 1.5% per month or as permitted by law.
• Refunds are subject to the terms of your individual engagement agreement. Risenfinity does not offer blanket refunds for completed advisory or consulting work.
• Success-based fees (if applicable) are governed by the specific terms agreed at the outset of an engagement.
• We reserve the right to suspend services in the event of non-payment without waiving any right to recover outstanding amounts.

Disclaimer

Risenfinity provides advisory and facilitation services. We are not a registered investment advisor, broker-dealer, financial planner, or legal counsel. Nothing communicated by Risenfinity — whether on our website, in consultations, or through any written materials — constitutes:

• Investment advice or a recommendation to buy, sell, or hold any financial instrument
• Legal advice or a legal opinion on any matter
• A guarantee of funding, investment, or any commercial outcome
• A representation that any investor introduction will result in a transaction

Our services are provided on an "as is" basis. While we strive for excellence in every engagement, we do not warrant that our services will be uninterrupted, error-free, or entirely fit for your particular purpose. You are encouraged to seek independent legal and financial advice before making any material business decisions.

Limitation of Liability

To the fullest extent permitted by applicable law, Risenfinity, its directors, officers, employees, advisors, and affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services
• Loss of profits, revenue, business opportunity, goodwill, or data
• Damages arising from failure of a fundraising round, investor introduction, or business expansion attempt
• Any third-party conduct, including that of investors, co-founders, or partner organisations introduced through our network

Termination

Either party may terminate an engagement with Risenfinity in accordance with the notice provisions set out in the relevant service agreement. In addition, Risenfinity reserves the right to immediately suspend or terminate access to its platform and services where:

• You have breached any provision of these Terms and Conditions
• You have provided false, misleading, or fraudulent information
• Your conduct poses a legal, regulatory, or reputational risk to Risenfinity or its network
• Required by applicable law or a competent regulatory authority

Upon termination, your right to access and use Risenfinity services ceases immediately. Provisions relating to confidentiality, intellectual property, limitation of liability, and governing law shall survive termination of these terms.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. For engagements involving UAE, UK, or Singapore operations, applicable local laws and regulations of those jurisdictions may also apply to the extent relevant.

Any disputes arising out of or in connection with these terms shall first be attempted to be resolved through good-faith negotiation between the parties. Failing resolution within 30 days, disputes shall be submitted to binding arbitration in Mumbai, India, under the rules of the Indian Council of Arbitration, unless otherwise agreed in writing.

Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.

Changes to Terms

Risenfinity reserves the right to update or modify these Terms and Conditions at any time. When changes are made, we will update the "Last Updated" date at the top of this page and, where material changes are made, endeavour to notify active clients via email.

• Your continued use of our website or services following the posting of updated terms constitutes your acceptance of those changes.
• If you do not agree with any updated terms, you should cease using our services and notify us in writing.
• We recommend reviewing these terms periodically to stay informed of any updates.
